Terms of Service

Terms of Service Version 1.1

These Terms of Service govern access to and use of the Shelf Tactics platform, including the public site, account services, onboarding flows, portal features, communications, and related tools.

1. Platform Description

Shelf Tactics is coordination infrastructure for retail operations and related ecosystem activity. Shelf Tactics helps participants discover one another, organize information, manage profiles, coordinate workflows, and support operational relationships across manufacturers, retailers, distributors, vending operators, logistics providers, service providers, marketing partners, and other ecosystem participants.

Shelf Tactics is not a marketplace, merchant, distributor, fulfillment provider, broker, reseller, or guarantor of any product, service, placement, promotion, logistics arrangement, payment, or business result. Shelf Tactics does not manufacture, warehouse, own, inspect, buy, sell, distribute, endorse, or guarantee any goods or services offered or described by platform participants.

Any transaction, shipment, placement, campaign, operational agreement, or commercial relationship is solely between the relevant participants. Shelf Tactics is not a party to those arrangements and is not responsible for their performance, failure, legality, safety, quality, timing, payment, delivery, or outcome.

Participant profiles, submissions, and platform content may include information supplied by independent participants or other third parties. Shelf Tactics does not guarantee that participant-provided information is accurate, complete, current, reliable, or suitable for your needs, and you are responsible for evaluating any information before relying on it.

Even where Shelf Tactics provides profiles, visibility tools, workflows, coordination features, matching surfaces, operational support tools, or related software features, those features do not give Shelf Tactics control over participant conduct and do not make Shelf Tactics responsible for participant decisions, actions, performance, communications, compliance, or outcomes.

2. Eligibility

You may use the platform only if you can form a binding agreement under applicable law and are authorized to act on behalf of yourself or the organization you represent. By using Shelf Tactics, you represent and warrant that the information you provide is accurate, current, and complete, and that your use of the platform does not violate any law, regulation, contract, or third-party right.

3. Accounts and Security

You are responsible for all activity that occurs through your account, credentials, email access, and any linked identity provider. You must maintain the confidentiality of your login methods and notify Shelf Tactics promptly if you suspect unauthorized access, misuse, or a security incident involving your account.

Shelf Tactics may rely on account activity, profile settings, onboarding submissions, and communications originating from your account as authorized by you or your organization.

4. Participant Content and Submissions

You may submit profile information, operational details, addresses, role information, messages, documents, images, and other content through the platform. You retain ownership of content you lawfully own, but you are solely responsible for the accuracy, legality, permissions, and consequences of what you submit or make available through Shelf Tactics.

You grant Shelf Tactics a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, format, adapt, transmit, and otherwise use your submitted content as needed to operate, secure, improve, and support the platform and related services. This license continues for as long as reasonably necessary to provide the service, comply with law, enforce these Terms, and maintain backup, audit, or security records.

Shelf Tactics may remove or restrict content that violates these Terms, creates risk, or is otherwise harmful to the platform or other participants. Shelf Tactics is not obligated to monitor, pre-screen, verify, or publish any content.

5. Participant Responsibility for Products, Services, and Relationships

Each participant is solely responsible for its own products, services, statements, inventory, marketing, claims, pricing, packaging, safety, logistics, approvals, placements, promotions, legal compliance, and commercial conduct. Each participant is also solely responsible for evaluating counterparties and deciding whether to enter into or continue any relationship or transaction.

Shelf Tactics does not verify the identity, qualifications, capabilities, licensing, solvency, product quality, insurance coverage, regulatory compliance, operational readiness, or business intentions of any participant. Shelf Tactics does not guarantee introductions, matches, profile visibility, lead quality, partner responsiveness, placement opportunities, conversion, commercial interest, campaign performance, distribution results, revenue, margins, sell-through, availability, delivery timing, or any quantity or quality of business opportunity or other business outcome.

6. Prohibited Activities

You may not use Shelf Tactics to:

  • violate any law, regulation, court order, or contractual restriction
  • misrepresent your identity, authority, business, products, services, or affiliations
  • submit false, deceptive, infringing, defamatory, abusive, or unlawful content
  • upload malware, interfere with platform operations, probe for vulnerabilities, or bypass security controls
  • scrape, harvest, copy, or use platform data or participant information except as expressly permitted
  • use the platform to facilitate fraud, counterfeit activity, unlawful distribution, or unsafe products
  • circumvent account restrictions, create accounts through unauthorized automation, or impersonate others
  • use Shelf Tactics in a way that creates unreasonable load, operational risk, or legal exposure for the platform

7. Launch Phase and Platform Availability

Shelf Tactics is in a launch phase. Features, workflows, eligibility rules, integrations, and availability may change without notice. Certain features may be experimental, incomplete, withdrawn, or offered only to limited participants. Shelf Tactics may add, modify, pause, or remove functionality at any time.

Shelf Tactics does not guarantee uninterrupted availability, error-free operation, data preservation, uptime, feature continuity, compatibility, or that the platform will meet your needs or expectations.

In plain terms, Shelf Tactics makes no promises, commitments, or guarantees regarding platform availability, feature continuity, participant activity, commercial outcomes, or suitability for any specific purpose.

Certain platform functions may depend on third-party hosting, identity, infrastructure, storage, mapping, communications, analytics, security, or related technical service providers. Shelf Tactics is not responsible for interruptions, failures, delays, outages, or limitations caused by those third-party services except to the extent required by applicable law.

8. Intellectual Property

Shelf Tactics and its related software, design, branding, workflows, text, graphics, compilations, and other platform materials are owned by Shelf Tactics or its licensors and are protected by intellectual property and other laws. Except for the limited right to use the platform in accordance with these Terms, no rights are granted to you by implication, estoppel, or otherwise.

You may not copy, modify, reverse engineer, decompile, resell, sublicense, create derivative works from, or exploit any part of the platform except as expressly allowed in writing by Shelf Tactics.

9. Suspension and Termination

Shelf Tactics may suspend, restrict, or terminate access to any account, content, organization, or feature at any time, with or without notice, if Shelf Tactics believes there is a violation of these Terms, a security or legal risk, harmful conduct, suspected fraud, abuse of the platform, or any other reason that makes continued access inappropriate in Shelf Tactics’ judgment.

You may stop using the platform at any time. Termination or suspension does not limit Shelf Tactics’ other rights or remedies and does not relieve you of obligations that arose before termination.

10. Disclaimer of Warranties

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHELF TACTICS DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

Shelf Tactics does not warrant that the platform will be uninterrupted, secure, available at any particular time, free of errors, free of harmful code, or that any content, participant information, output, or result will be accurate, complete, reliable, or useful for your specific purpose.

Nothing on the platform, in platform content, or in communications from Shelf Tactics should be interpreted as legal, tax, regulatory, financial, operational, business, compliance, or other professional advice. You are responsible for obtaining advice from qualified professionals where appropriate.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHELF TACTICS AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, CONTRACTS, INVENTORY, REPUTATION, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO THE PLATFORM OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF SHELF TACTICS FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (USD $100).

These limitations apply whether the claim is based in contract, tort, negligence, strict liability, statute, or any other legal theory, and whether or not Shelf Tactics was advised of the possibility of the damages.

12. Indemnification

You will defend, indemnify, and hold harmless Shelf Tactics and its affiliates, officers, directors, employees, contractors, licensors, and service providers from and against any claims, demands, actions, proceedings, damages, judgments, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to your content, your account, your use of the platform, your products or services, your business relationships, your violation of these Terms, or your violation of any law or third-party right.

13. Disputes Between Participants

Disputes between participants are solely the responsibility of the parties involved. Shelf Tactics has no duty to mediate, investigate, resolve, or participate in disputes between participants, including disputes involving product quality, performance, payment, delivery, marketing claims, promotions, placements, territory, rights, safety, or compliance.

Shelf Tactics may, but is not required to, review information or take internal platform action in response to complaints, reports, or legal demands.

14. No Agency or Employment Relationship

Your use of the platform, participation in any workflow, or interaction with other participants does not create any partnership, agency, employment, joint venture, franchise, fiduciary, representative, or similar relationship between you and Shelf Tactics.

No participant is authorized to make representations, commitments, warranties, or obligations on behalf of Shelf Tactics unless Shelf Tactics has expressly agreed in writing.

15. Dispute Resolution and Governing Law

These Terms and any dispute arising out of or relating to the platform or these Terms are governed by the laws of the United States and the State of Ohio, without regard to conflict of laws principles.

Before filing a formal claim, you agree to submit notice of the dispute through the Shelf Tactics contact page and allow a reasonable opportunity for informal resolution. If a dispute is not resolved informally, the state and federal courts located in Ohio will have exclusive jurisdiction, and you consent to personal jurisdiction and venue in those courts. To the maximum extent permitted by law, you and Shelf Tactics each waive any right to participate in a class action or representative proceeding.

16. Changes to These Terms

Shelf Tactics may update these Terms from time to time. Updated Terms become effective when posted to this page unless a later effective date is stated. Your continued use of the platform after updated Terms are posted means you accept the revised Terms to the extent permitted by applicable law.
